PRIMARY FUNCTION:
The Legal Counsel oversees and identifies legal issues in all departments that arise during business and provides guidance to the CFO and other staff members on their interrelation to ensure the company always operates within the bounds of the law. This position will serve in a dual role overseeing both legal and risk departments.

The Legal Counsel oversees and identifies legal issues in all departments that arise during business and provides guidance to the CFO and other staff members on their interrelation to ensure the company always operates within the bounds of the law. This position will serve in a dual role overseeing both legal and risk departments.
ESSENTIAL DUTIES:
Legal
- Provide legal advice, guidance and counsel on a variety of legal issues rendering advice personally or through outside counsel, when appropriate.
- Act as a liaison with outside counsel, client representatives, vendors, subcontractors and governmental agencies.
- Keep abreast of legislative changes that may affect the company & communicate as necessary.
- Assist in satisfying applicable compliance and regulatory requirements. Lead, communicate and effectuate change within the organization when needed.
- Assist with setting strategy and implementing strategic goals from a legal perspective.
- Work closely with credit, finance, tax and operations teams.
- Review, advise, draft and negotiate a variety of contracts, leases, NDA’s (Non-Disclosure Agreements) and other corporate legal documents.
- Update and maintain companywide business contracts. Develop and maintain company contract database.
- Identify issues that could cause harm to the company and provide legal guidance on risk mitigation strategies.
- Coordinate with Human Resources to update policies, procedures and investigations processes, when needed.
- Provide training to company on substantive issues as needed
- Assist with any M&A (Mergers & Acquisitions) activity
- Contribute to a positive work environment and promote the vision, mission and values of Company.
- Develop risk assessments involving business activities and operation functions to adequately analyze and manage potential risk issues.
- Design and implement an overall risk management process for the organization which includes an analysis of the financial impact on the Company when risk occurs.
- Assist with the oversight of claims and loss control activities.
- Attend and support insurance-related legal actions, as necessary.
Education:
- JD from an accredited law school.
- Actively licensed to practice law in North Carolina.
- A minimum of 5 years’ experience as in-house counsel or relevant experience .
- A minimum of 2 years’ risk management experience.
- Experience with federal procurement, compliance, private sales and government contracts.
- Must be able to travel routinely, both daily and overnight.

- Ability to multitask with great attention to detail and a sense of urgency, highly organized and ability to meet deadlines within a changing fast paced environment.
- Ability to provide clear concise legal advice confidently.
- Competent in Microsoft Word, Excel and Outlook
- Ability to work both independently and as a team and foster good relationships internally and externally.
- Excellent negotiation, drafting and communication skills with the ability to support and cultivate teamwork.
- Ability to lead legal functions, people and processes throughout all levels across the organization.
- Understanding of business operations.
