Our legal and contracts team is growing ! Come join us in a role that helps drives positive business outcomes . The Contracts Manager reports to Sr Corporate Counsel and the position is located in Port Washington NY in a hybrid work arrangement .
Pall is seeking qualified candidates with relevant experience and a passion for helping clients achieve business objectives while serving as a Contracts Specialist supporting its global business operations. The successful candidate will be responsible for reviewing, drafting, and negotiating commercial and U.S. Government sales terms and conditions and agreements, distribution agreements, and non-disclosure agreements in close coordination with the business units and other shared services.
Responsibilities

This position provides front-line contractual drafting and negotiation support for sales and purchasing contracting needs in a broad range of areas: (1) general commercial support for domestic and international manufacturing and procurement; (2) strategic procurement with project support and collaboration; (3) drafting, negotiation, and counseling related to sales, supply and maintenance contracts, master services agreements, blanket purchase agreements, engineering and construction services and other general vendor and similar-type agreements; (4) federal government contracting; and (5) continuously improving efficient systems and content for legal service delivery and training.

Global Commercial Contract Review: Review and analyze solicitations/contracts for significant and/or unique requirements, special provisions, and terms and conditions to ensure compliance with appropriate laws, regulations, corporate policies, and Business Unit risk mitigation procedure. Advise internal business clients on legal issues, risks, and company policy. Review and negotiate all types of contracts

Non-Commercial (USG related) Contract Review to include advise the Pall business team(s) on federal contracting related solicitations, contracts, and contract provisions. Analyze laws, regulations, and contract trends for potential impact on business goals and objectives. Develop negotiation strategy and lead negotiation team on complex contractual issues and TINA proposals
Required Qualifications

8-10 years professional experience drafting contractual language and negotiating complex contracts terms and conditions;

Familiarity with UCC and USG FAR/DFAR, CAS, ITAR, and EAR requirements.

Experience in commercial strategy and federal contracts drafting with prudent, risk-based business counsel and identification of material legal, regulatory and contracting issues.

Must have exceptional negotiation skills.

BS /BA degree is preferred . Legal experience is a plus .

Manufacturing industry experience

Familiarity with U.S. government contracting, and in particular, supplier flow-down requirements

Spanish and/or Portuguese Language Skills
The salary range for this role is $ 100,000 to $115,000
. This is the range that we in good faith believe is the range of possible compensation for this role at the time of this posting. We may ultimately pay more or less than the posted range. This range may be modified in the future. This job is also eligible for bonus/incentive pay.
