Overview:

PRS Management, Inc. (PRSMI) is currently seeking a dynamic and experienced Associate General Counsel to serve on our in-house legal team for the Pacific Retirement Services family of organizations (PRS), which includes PRSMI. You will work closely with our General Counsel, corporate officers and PRS stakeholders to ensure the Corporation operates under sound corporate governance and remains compliant with ethical and legal corporate and employment practices. This position will report directly to our Chief Legal Officer. Preferred candidates will be licensed and actively practicing law in California or Oregon; this position is hybrid-remote with up to 50% travel to our central office in Medford, OR.


In addition to effectively partnering with our Chief Legal Officer on all corporate legal matters, you will:

  • Provide expert and strategic legal counsel to PRS management, staff and employees in a wide variety of areas of law, including but not limited to: health care, senior housing, employment law, real estate, land use, healthcare regulatory, administrative regulatory, litigation, nonprofit tax law, finance, corporate governance, and contracts.
  • Provide legal support on a broad variety of transactions, including negotiating, drafting and reviewing documents necessary to implement business finance transactions, such as legal opinions, loan agreements, real estate transactional, financing, promissory notes, guaranty agreements, trust deeds and security agreements.
  • Draft, review and negotiate contracts necessary to implement a wide range of projects including but not limited to: management agreements, software agreements, vendor service contracts, and residence and care agreements, minimizing risks and maximizing legal rights on behalf of PRS.
  • Research and respond to legal questions presented by PRS clients, interpreting relevant laws, rulings, regulations and policies including, environmental, safety, revenue, healthcare, and compliance with laws regarding protected classes of employees including employment, worker’s compensation, equal opportunity, civil rights, discrimination and equal protection.
  • Advise on internal governance policies and manage the impact of external factors.
  • Assure that the Corporation and its subsidiaries are adequately defended against actual and threatened litigation.
  • Develop, present, and participate in training of supervisors, employees and others to reorganize and avoid potential legal problems in a wide-range of areas.
  • Perform other duties as assigned or required.

Salary: $215,000 - $250,000 /yr DOE + incentive compensation

  • J.D. from an ABA Accredited School.
  • OR license to practice law, or ability to timely waive into OR, is required, and additional CA licensure is a strong plus. Being licensed in Washington, Arizona, Texas or Wisconsin is a plus but not required.
  • At least four (4) years’ experience practicing law with a concentration in corporate law, business law, non-profit law, real property law, employment practices, and healthcare regulations. Advanced knowledge of senior living and health care law is a plus.
  • Valid driver’s license and insurable by our insurance carrier.
  • Dedication to protecting the legal interests of PRS at all times; including expertise in facilitating "courageous conversations," conducting oneself with integrity, collegiality and a high level of tact and persuasion. We value respect above all else!
  • Strong work ethic with a customer first perspective and 'can do" attitude at all times. We're looking for someone you enjoys working closely with a wide variety of stakeholders and coordinating amongst key players, especially in a remote/hybrid environment.
  • Must excel managing a significant workload, establishing priority and throughput processes, without significant day to day supervision.
  • Must take direction willingly from Chief Legal Officer, challenging direction or counsel as appropriate, with a strong sense of teamwork.
