The Role:
As the Corporate Counsel - Contracts, reporting to the Deputy General Counsel, you will support the Legal team in the commercial contract process, working with business and commercial internal clients to draft and execute beneficial commercial agreements. You will record and track contract negotiations and renewals as well as support M&A activity and corporate governance efforts.
How You Will Make an Impact:
Contract Drafting and Management

  • Collaborate with internal clients to review, draft and negotiate commercial agreements, including NDAs, sales contracts, raw material and supply contracts, licensing agreements, agency and distribution agreements
  • Work with business and commercial teams to develop negotiation strategies and enforce contract standards
  • Maintain database of contracts and forms, tracking status of negotiations and renewals
  • Support M&A activity, including working with external counsel

Corporate Governance

  • Support management of global corporate entity structure, including global subsidiary management and legal entity rationalization
  • Provide support on M&A activity, including mergers, acquisitions, joint ventures and dispositions
  • Manage board meetings, resolutions, appointments and other corporate activity

Qualifications

Creating Extraordinary Starts With:

  • J.D. from an accredited law school
  • Valid license to practice in Texas. Other state licenses will be considered
  • 3+ years experience with an established law firm. In house experience with a multinational corporation a plus.
  • Experience with variety of commercial agreements, including sales, vendor, sourcing and raw materials, and non-disclosure agreement
  • Corporate governance experience preferred
  • Chemical industry experience preferred #LI-LL1 #LI-Hybrid
