General Purpose: This position will provide a full range of legal counsel and services for Black Hills Federal Credit Unions (BHFCU) corporate office and all branch locations. Serves as legal counsel in matters impacting the credit union, mitigating risk of litigation and impact to members.
Duties will include ensuring compliance with laws, rules and regulations, contractual arrangements, litigation oversight, collections oversight, drafting and advising on commercial, personal and residential mortgage loan documents, security and collateralization, insurance claims, creditor bankruptcy issues, employment matters, foreclosures, replevin actions, day to day advice to front line and back-office personnel, and otherwise support all BHFCU legal matters as they may arise.
Essential Duties/Responsibilities
1. Investigate, research, and provide legal advice concerning a broad range of issues and circumstance which arise in BHFCUs day-to-day business activities.
2. Provide management with legal support related to business operations, including contract drafting, review, negotiation, administration, and performance.
3. Provide legal support to branch managers, frontline and collections personnel related to a variety of legal topics, (e.g., probate, conservatorship, trusts, negotiable instruments, uniform commercial code, banking, collections and creditor bankruptcy).
4. Provide legal support to consumer, residential and commercial real estate, and business lenders relative to lending transactions, title issues, lien prioritization, asset collateralization, subordination, assignments and drafting or revision of lending documents.
5. Provide legal support to corporate and administrative functions (e.g., finance, collections, member service, insurance, supply chain, human resources, lending, facilities, construction, vendor and risk management).
6. Provide management with legal support related to acquisitions and other potential strategic partnerships, and development of company-owned operating assets and facilities.
7. Provide legal support and assistance to the General Counsel and Compliance Manager.
8. Develop firm understanding of the credit unions strategic business values and objectives.
9. Review, interpret and follow legislation, state and federal, case authority as applicable, as well as NCUA rules and regulations to ensure credit union personnel are aware of and in compliance with applicable laws.
10. Assist in the supervision of outside counsel on legal matters, including litigation supervision and reporting to General Counsel.
11. Participate in legal department planning, project prioritization and administrative tasks.
Other Duties/Responsibilities
12. Support and comply with BHFCU policies, goals, and objectives.
13. Perform specific and delegated duties as assigned by the Chief Risk Officer.
Job Knowledge
1. Knowledgeable in multiple fields of law, including contracts, probate, conservatorship, trusts, negotiable instruments, uniform commercial code, banking, insurance, civil litigation, employment, real estate, construction, regulatory, administrative.
2. Knowledge and understanding of the regulated financial business environment, due diligence, negotiation tactics, knowledge of general commercial and corporate legal support requirements.
3. Proficient verbal, written, and interpersonal communication skills.

Job Qualifications (Education/Experience)
Minimum eight (8) years full time relevant legal experience is required.
Juris Doctor degree from ABA accredited law school is required.
Active license to practice law in South Dakota is required.
Formal training should be supplemented with continuing education.

Work Environment/Physical Activities
The job calls for a high degree of mental concentration to interpret and act upon a wide range of situations. The job requires a high degree of attention to detail. While performing the duties of this job, the employee continuously accesses, inputs, and retrieves electronic information and communicates regarding the information. Employee frequently moves about the office space. Employee must be able to operate routine office equipment including computers (desktops, laptops, mobile devices) and similar equipment. Must be able to routinely perform this work for an average of 8 to 9 hours per workday and occasional extended hours as necessary. Must be capable of regular, reliable, and timely attendance.
Occasional travel to one of BHFCUs branch locations or attendance at community events may be required.
