Haynes and Boone’s Business Transaction Development Program is designed for college graduates interested in transactional law and who seek to gain a comprehensive understanding in that area. Our two-year, salaried program gives individuals an opportunity to collaborate with our lawyers to conduct research, prepare documentation, and facilitate the closing of a wide range of transactions. Throughout the two-year program, individuals will engage with a variety of practice groups within the Firm and gain an in-depth understanding of the law.
This position is a two-year assignment. Our attorneys will offer hands-on training, as well as online resources, in-person CLEs and smaller group training sessions.
This non-exempt employee will work closely with partners and associates throughout all phases of corporate transactions. This structure will allow the business transaction intern to learn about how deals are put together, from the initial drafting of agreements to the final closing of the deal. In addition, the intern will assist with audit responses on behalf of the firm.
Essential Duties

Work closely with partners, associates and clients.

Play an active role in helping the Firm to provide our clients with legal services of the highest caliber.

Assists with document reviews, negotiation sessions, corporate filings, closings and post-closing requirements.

Conducts research and prepare initial drafts of agreements.

Keeps track of, organizes, proofreads, files, and distributes documents related to corporate deals.

Draft and review audit response letters.

Attend internal meetings and interact directly with clients.

Interact with the accounting firms to coordinate deliver of the audit response letters.
Other Duties

Performs other related administrative duties as needed or assigned by corporate attorney supervisors.
Reporting Relationship:
The Business Transaction Analyst is assigned to the corporate attorneys and reports directly to the Office Administrator from an administrative perspective.

Knowledge & Experience
This is an entry-level position.
Skills
The Business Transaction Analyst should be proficient in MS Office (Word and Excel). They must have initiative to problem-solve, have strong organizational and writing skills. Attention to detail and strong research skills also are needed. The Business Transaction Intern must display excellent interpersonal and communication skills. This individual must be able to prioritize work, take direction and meet deadlines. A sense of urgency and an ability to efficiently manage time are required. The Business Transaction Intern should be self-motivated and a strong team player.
Education
Bachelor’s degree with high academic standing. Interest in attending law school.
Physical Demands:
Must be able to move around the office up to 15% of the time to make copies, fax, file, etc.; Remains stationary at least 85% of the time. This position operates computers and other office productivity machines (e.g., fax machine, copier, printer, etc.) on a regular basis.); Occasionally required to move documents or files weighing up to 15 lbs.; This position requires constant communication and exchange of information with the Firm attorneys, clients and staff; This position must be able to inspect and observe information on a computer screen at least 80% of the time.
Working Conditions:
Office Environment. Must have flexibility to work a considerable amount of overtime and be available as needed. Must also have the willingness to make a two-year commitment.
